hela Sverige As General Counsel you will add value to and play a crucial role in BICO's continued journey. The General Counsel will ensure that BICO operates within the law at all times, offer counsel on legal issues, create an effective guardian of the organization and facilitate business strategies development. You will be responsible for ensuring legal compliance and limit risk exposure with focus on commercial agreements.
This position is part of the Executive Management Team and will work in close collaboration with the team, the board and the organization to drive Commercial and Operational Excellence going forward. You will be based in Gothenburg and have the ability to travel at times.
Key Responsibilities
In this key position, you will take ownership of all legal matters for the BICO group, ensuring compliance and that risks are accounted for and handled at all times. This entails setting processes and making sure all contracts and agreements are in place and are adhered to. It also means to be an ambassador for trust and compliant behavior and to be a key driver of such behaviors within the organization, and to do so with a great level of business acumen.
Furthermore, you will:
• Provide expert and strategic legal advice to management
• Set internal governance policies, processes and manage the impact of external factors support structures that allow BICO to successfully grow and scale globally.
• Act as secretary at Board meetings and administrator of the board portal and managing BICO's insider log
• Anticipate issues and estimate risks strategically. Identify proactive solutions that will eliminate or mitigate risks
• Make sure decision making processes are based on ethics and integrity
• Create associations of trust and respect with key stakeholders
• Deal with external parties (regulators, external counsel, politicians, customers and partners) and management of litigations and other dispute resolution processes.
• Attract, develop, direct, motivate and drive performance of the Legal team
• Draft agreements that minimize risks and maximize legal rights
• Monitor and keep ahead of legislative changes and provide general advice on matters relating to specific legal topics like IT, GDPR, IP, employment and compliance.
• Assist with and monitor compliance of BICO's corporate governance model and assist with OpCos' compliance.
• Act as board member in OpCos
• Managing Intra-group Agreements (transfer pricing) in close collaboration with Finance
• Advise on legal aspects of corporate transactional matters, including corporate finance, leases and other facilities related transactions
• Support BICO's M&A, venture capital, strategic investment and other corporate development activities, including overseeing the due diligence process, negotiating NDAs, letter of intent, term sheets and definitive transaction agreements, developing templates and playbooks for our strategic investments and related support projects.
• Ensure compliance with marketing and consumer law and intellectual property law. This includes licensing agreements, end user terms, commercial partnership agreements, marketing agreements, support and advice in tech/product development projects
• Manage a team currently comprising two legal professionals.
Profile
You understand that this is a dual role, where compliance is often a matter of managing and guiding behaviors just as much as regulating; you need to be able balance the fine line between making sure guidelines and regulations are adhered to while being an agile business partner when appropriate. This requires both integrity and humility together with a high service level and communication skills. It also requires being comfortable in a sales-driven environment and in meeting customers and partners and being able to work both strategically and on an operative level. You are a role-model within your domain and a key contributor in building a culture of ownership and responsibility
Working Experience
We expect you to have a Master 's degree in Law and extensive, minimum five years, Counsel experience, of which a substantial share in a global commercial context and from a listed public company. You must have a background that include both Law firm/Consultancy and the customer side/inhouse. We also think it is crucial to have experience in working with a workforce with highly educated employees such as engineers, entrepreneurs and innovators as well documented experience from setting processes for risk management and compliance, rather than just following them. Previous Group Executive Management experience is preferred, as is experience from Life Science. English and Swedish is a must, other languages, especially German, a plus
