The Paralegal/Junior Legal Counsel is to support the global legal department in the day-to-day activity of structuring and drafting commercial and R&D contracts, corporate governance, maintaining product and corporate policies and procedures, and ensuring consistent application of these throughout the business. Perform research tasks related to the interpretation and application of laws and regulations.
Essential Responsibilities
The Paralegal/Junior Legal Counsel will interact with GE personnel globally at different functions as well as with global Legal team, internal business staff, and external law firms
The Paralegal/Junior Legal Counsel will assist in providing legal advice to the GEHC Life Sciences business on a variety of legal matters and transactions, including R&D collaborations, commercial, distribution, licensing arrangements and sourcing agreements, marketing/communications materials, product documentation, corporate governance (including internal transactions between group companies), compliance with healthcare antifraud & abuse laws. The Junior Legal Counsel/Paralegal reports directly to a Senior Legal Counsel within the Life Sciences Legal team. The role will be based in Uppsala Sweden.
Key responsibilities
Drafting and reviewing agreements and transactions, including customer sales contracts, and distribution, R&D collaboration and licensing agreements
Handle corporate governance matters for Swedish legal entities including intra group transactions, loans dividends, attending board meetings, supporting AGMs and filings with Swedish Company Register etc.
Support issues requiring legal or compliance attention, strategic transactional legal advice and key initiatives within the Product and Services teams globally
Conduct research and advise on regulatory, privacy, competition law and advertising/promotional matters
Supporting legal team on dispute resolution and litigation where appropriate
Supporting legal team in corporate transactions (e.g. M&A)
Participate in the development of templates and other legal tools including maintaining internal legal support centrals
Qualifications/Requirements
We seek a junior lawyer with a Swedish law degree or an equivalent law degree from another jurisdiction within the EU with an interest in commercial contracts and corporate law. Alternatively, a Paralegal with documented education and relevant professional experience. As a paralegal it is an advantage if you have experience in commercial agreements and/or contract management as well as corporate governance in any form. Very well written English and excellent interpersonal skills is a requirement. Swedish skills in oral and written form is desired.
