hela Sverige As a Legal Counsel in the H&M Group Legal - New Growth and Venture team, you will be part of a small team of five people within H&M Group Legal. You will primarily provide legal advice and be a strategic partner to initiatives within H&M Group Ventures, New Growth and M&A.
H&M Group Ventures is the venture investment arm of the H&M Group. The team invest for minority ownership in entrepreneur-led startups in our industry. The ambition is to create value by investing in promising high-growth companies globally that are of strategic interest to the H&M Group and its expanding ecosystem. Further, we aim to add value to portfolio companies by investing both capital and knowledge. Investments are made in three areas: Sustainable fashion (companies that develop technologies and software that will enable the H&M group to lead our industry to a circular and sustainable future), New Retail (companies that explore consumers' behaviour and shopping today, as well as in the future) and Enablers (tools and solutions that enable a better customer offer and/or can make us more efficient and more relevant). As of today, we have 25+ portfolio companies and we are looking to add many more over the coming years.
Supporting New Growth includes providing legal advice in relation to joint ventures, new ventures and other new initiatives within the H&M Group. Our legal support further includes supporting the M&A team with any future mergers or acquisitions.
The team also support various commercial agreements and within the business areas of green investments, new markets, franchises and marketplaces.
As Legal Counsel within the Group Legal - New Growth and Ventures team, you will:
Provide legal and strategic advice relating to investments in an international setting.
Draft, evaluate and negotiate investment related agreements (e.g. shareholders agreements, investment agreements, share purchase agreements), as well as other ancillary documentation.
Conduct due diligence.
Offer general legal support to portfolio companies and their management teams.
Take an active part in decision-making relating to legal and commercial matters.
Contribute to structure, governance and internal knowledge development by creating templates, toolkits, best practice etc.
Be a team player, appreciate working in an agile matrix organization and collaborate with other functions.
Qualifications

Qualifications:
A university law degree.
You have at least 5 years' working experience at a law firm or equivalent, preferably in an international setting.
Experience of working with M&A/VC Investments and Corporate Law.
Investment experience from other jurisdictions (common law) is a merit.
You have great experience of drafting, evaluating and negotiating commercial agreements.
You are fluent in English both orally and in writing (professional English required).
