Arbetsuppgifter
• Provide in-house legal support & leadership for all key transactions, including mergers & acquisitions, dispositions, financing and capital market transactions. . Advise with respect to debt financing arrangements, including capital markets advice related to listed bonds as well as general trends and practices. . Advise with respect to ongoing securities law advice including investor disclosure, obligations, etc. (resulting from listed bonds). This includes Annual Report, quarterly reports and presentations, and ongoing disclosure obligations. It also includes advising on Market Abuse Regulation requirements within the internal team. . Manage the group's legal and contractual due diligence process. . Work closely with outside legal counsel, governmental agency. representatives and potential acquisition targets or buyers. . Obtain all necessary regulatory approvals, working constructively and building relationships with the appropriate regulatory authorities. This will include responsibility for managing and obtaining merger control approvals, as well as helping define merger control strategy. . Function as a resource for business unit and corporate management for mergers and acquisitions growth initiatives. Partnering closely with the business development team as they define and implement new transaction processes. . Assist with post-acquisition integration efforts, working closely with senior management. . Partner & collaborate across the legal organization and stay abreast of relevant corporate, finance and securities legal developments & proactively understand and react to potential impact on our organization. . Assess and report to the group's executive team on new developments, current trends and regulatory changes that impact transaction activity. . Assist in the selection of outside counsel as appropriate with responsibility for building and maintaining law firm relationships. . Co-leading group wide initiatives and projects across a variety of areas. . Support and perform, as appropriate, other activities provided by the group Legal function and participate in and, as appropriate, lead aspects of the administration of the Legal function from both a leadership and team management perspective.
Utbildning/Erfarenhet
The Group Transaction and Finance Counsel will have a strong academic pedigree followed by first rate legal training in a prominent international law firm. He/she will have demonstrable knowledge of advising across a range of transactional matters and may have also gained experience in an in-house environment within an international organization. Required Qualifications: . Min 7 years of experience within relevant area . A qualified corporate transactions lawyer either currently practicing at a major law firm, or operating in a senior in-house role within a business with a strong international footprint. Additional experience advising on general finance matters is an advantage . Extensive M&A experience identifying, negotiating, structuring, closing and integrating mergers, acquisitions, joint ventures, divestitures and strategic alliances. Experience in coordinating projects and transactions across multiple functions . Successful track record of providing commercial and strategic advice and guidance to middle and senior management . Experience working successfully with outside constituents, including law firms, investment banks and other external stakeholders . Experience working globally and managing transactions with both private and public companies . Experience leading the legal due diligence process . Team management experience is beneficial but not required
