individually handle legal matters with significant opportunity and exposure to Nouryon and will interact with (senior) business leadership. You will respond to request for legal advice and analysis; offer proactive advice regularly and signal prospective legal risks. In this very exciting and important position you as our Commercial Legal Counsel play an essential role to safeguard the strategic objectives of the assigned business and to ensure a limited (legal) risk exposure within a broad scope of legal topics. You are a legal generalist with substantial knowledge of a broad range of specialist topics such as corporate law, competition law, litigation law, M&A and intellectual property law.
You will act as a business partner, engaged in both the business and the legal group, and provide legal advice and support to all Nouryon businesses operating in or out of the Nordics, where needed in consultation with external counsel, in the drafting and hands on negotiation of a variety of commercial and other agreements and corporate documents. You will also provide support in compliance matters and educate and train colleagues on various legal matters.
• Legal master's degree from an accredited law school in Sweden
• Extensive relevant working experience (which might include a period of service in a district court), at an (inter)national major law firm or at in-house legal department, having had broad exposure to multiple legal matters including litigation and compliance.
• Extensive experience in drafting, reviewing and negotiating a wide range of commercial and corporate agreements and other legal documents such as sales and purchase contracts, distribution agreements, agency agreements, outsourcing contracts, engineering contracts and M&A related contracts (e.g. share purchase agreements, joint venture agreements, asset transfer agreements).
• Excellent legal knowledge and understanding of contract law, corporate / M&A law, IP law and other laws and regulations that may apply (including with respect to regulatory such as sanctions, competition, privacy laws.
• Solid dispute resolution experience, solid command of anti-trust principles.
• Fluent in Swedish and English (spoken and written).
Great if you have
• Experience in drafting and reviewing corporate contracts, including board resolutions and articles of association.
• Experience from working with environmental law, employment law, privacy laws or IP law.
We believe you are a team player with the ability to work well and build relationships across all levels of the organization and be highly effective and able to maximize the efficiency of the legal department, but still be self-motivated and able to work independently. You have the desire to work on numerous matters arising in an in-house legal department. You are results oriented and a problem solver; commercially savvy and committed to getting into the details of a matter and handling it through to conclusion. You are outstanding in legal reasoning, analysis and strategic thinking with proven good judgment. Business focus comes natural to you with the ability to drive innovative solutions and strategies, and to appropriately balance risk with the need for the business to act.
