The Legal Counsel for RCS Global Procurement & Supply Chain is responsible to provide legal and contractual support to the activities of the RCS Procurement & Supply Chain function. The focus of this job is being the business partner for the RCS Procurement & Supply Chain function, which includes, inter alia, negotiating with subcontractors, suppliers and other third parties (incl. drafting of legal documents), supporting bids, assisting with issues related to project execution, ensuring compliance with policies and directives and identifying and sharing of best practices. It also includes pro-actively identifying legal and contractual issues through a comprehensive risk analysis and developing appropriate mitigation strategies.
The Legal Counsel for RCS Global Procurement & Supply Chain will act as the primary point of contact for his/her field of expertise for many colleagues, (globally), within the RCS Procurement & Supply Chain function. The focus of the job is not only on providing legal and contractual advice and expertise regarding complex matters, but also on the coaching and training of other colleagues. She / he sets legal and contractual quality standards and strives for the continuous improvement of practices, processes, templates and tools. She / he will also support the bid process and RCS projects in execution by assuming responsibility for all legal and contractual aspects related to Procurement & Supply Chain matters from the Invitation To Tender (ITT) phase until the end of the warranty period. This position will support our contracts and business with suppliers and partners, globally, with whom we will consolidate the future procurement spend within RCS.

IN YOUR ROLE YOU WILL:
• Support to Procurement & Supply Chain on a range of procurement agreements, templates and precedents, including redrafting and adapting rolling stock procurement documents into versions and formats which are appropriate for the signalling business of RCS.
• Support on strategic Procurement & Supply Chain activities such as global supplier frame agreements, license agreements with a software focus, supply and service/consultancy agreements, research and development agreements and outsourcing agreements
• Assist the RCS Project Management and RCS Procurement & Supply Chain functions on contractual and legal issues related to subcontractors and suppliers, with a view to maximizing opportunities and minimizing risks, throughout the life of a project.
• Design and give training on legal issues and contract management to the RCS Procurement & Supply Chain organization
• Provide assistance to RCS Project Execution personnel and support all disputes, claims and litigation / arbitrations related to matters involving subcontractors and suppliers
• Ensure proper governance and reporting of the disputes, claims and litigation as per RCS applicable Policies and Directives.

• University Law Degree - a focus on contract or business law would be preferred
• Minimum 5 years of experience required
• Comprehensive understanding and good knowledge of legal and contractual areas that are relevant to the business
• Relevant experience in a practice-oriented and solution-focused role, requiring management of legal and commercial aspects in (ideally) a larger business context
• Previous Legal/Contractual experience or specialization in Procurement & Supply Chain matters would be an asset
• Ability to communicate with a wide variety of subcontractors and suppliers, globally
• Developed diplomatic skills
• Willingness to travel circa 10 - 20% per year, mainly in Europe.
• English business fluent is mandatory for this role; any other languages at a fluent level would be considered a plus
